1. Acceptance of Terms
By accessing or using Vlynq ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Platform.
2. Description of Service
Vlynq is a platform that connects clients who need specific footage with videographers who can provide custom filming services. The Platform also offers a content library for location-specific stock footage. Key features include:
- Job posting system for custom footage requests
- Videographer profiles with showcases and social links
- Content library for location-specific footage
- Cloud storage services (10GB free, with paid upgrades)
- Messaging system for job communication
- Payment processing through Razorpay and Payoneer
3. User Accounts
Registration
- You must be at least 18 years old to use this Platform
- You are responsible for maintaining the security of your account
- You must provide accurate and complete information
- You are responsible for all activities under your account
Account Termination
We reserve the right to suspend or terminate your account at our sole discretion for violation of these Terms or for any other reason.
4. For Clients
Job Postings
- You are responsible for providing clear and accurate job descriptions
- You may upload reference files to clarify your requirements
- You must specify realistic budgets and deadlines
- You agree to review applications fairly and select a videographer in a timely manner
Payments
- Payments are processed through Razorpay
- 20% of the job amount is retained by Vlynq as platform fee
- 80% is paid to the videographer (after deducting transaction costs)
- Payment is released upon job completion and client approval
5. For Videographers
Job Applications
- You may apply for jobs in your geographic area
- You must provide accurate information in your profile and showcase
- You agree to deliver footage according to the client's specifications
- You must meet agreed-upon deadlines
Content Ownership
- Upon payment, all rights to custom footage transfer to the client
- You retain no ownership rights to footage created for custom jobs
- For content library submissions, you grant Vlynq a license to sell the content
- Content library sales earn you 60% of the sale price
Payouts
- Payouts are processed weekly through Payoneer
- Payments are made every Saturday for jobs completed from Saturday to Friday
- You are responsible for providing accurate Payoneer account information
- Transaction costs are deducted from your earnings
6. Content Library
Submissions
- Content must be location-specific and relevant to public spaces
- Content must not infringe on any third-party rights
- We reserve the right to approve or reject submissions
- Pricing is set by the videographer
Purchases
- Purchased content is for commercial use
- 60% of sale price goes to the videographer
- All sales are final (see Refund Policy)
7. Cloud Storage
- All users receive 10GB free storage
- Paid upgrades available at $5 for 50GB
- Received footage is stored for 30 days
- Users are responsible for downloading important files within the storage period
- We are not liable for data loss after the storage period expires
8. Prohibited Conduct
You agree not to:
- Use the Platform for any illegal purpose
- Upload content that infringes on intellectual property rights
- Harass, threaten, or discriminate against other users
- Post false or misleading job postings
- Attempt to bypass Platform fees or payment systems
- Use automated systems to access the Platform without permission
- Transmit any viruses or malicious code
9. Intellectual Property
The Platform, including its design, features, and content, is owned by Vlynq and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our permission.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VLYNQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
12. Indemnification
You agree to indemnify and hold Vlynq harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
13. Dispute Resolution
Any disputes arising from these Terms or the Platform shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of courts in India.
14. Changes to Terms
We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India.
